Skillplate Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Skillplate, including our website, platform, applications, software, tools, dashboards, creator tools, user portals, marketplace, checkout, integrations, AI-assisted features, and related services.
These Terms are entered into between Skillplate Inc. (“Skillplate,” “we,” “us,” or “our”) and the person, company, organization, creator, user, customer, or other legal entity using the Services (“you,” “your,” or “Customer”).
By accessing or using Skillplate, creating an account, purchasing a subscription, selling products through Skillplate, buying products through Skillplate, or otherwise using the Services, you agree to these Terms.
If you do not agree to these Terms, you must not use Skillplate.

1. Definitions

For the purposes of these Terms:
“Platform” means Skillplate and all websites, applications, dashboards, portals, software, tools, APIs, features, integrations, and services provided by Skillplate.
“Services” means the Platform and all related services provided by Skillplate.
“Creator” means a person, company, organization, or business that creates, sells, distributes, hosts, or manages digital products, courses, communities, memberships, coaching, downloads, bundles, events, or other content through Skillplate.
“User” means a person who accesses, purchases, consumes, enrolls in, or otherwise uses products, content, courses, communities, memberships, or services made available through Skillplate.
“Customer” means a Creator, business customer, account owner, organization, or other person or entity that enters into an agreement with Skillplate or uses the Services.
“Creator Content” means any content, products, courses, videos, files, text, images, landing pages, descriptions, offers, communities, downloads, events, coaching materials, brand assets, or other materials uploaded, created, generated, published, sold, or distributed by a Creator through Skillplate.
“Customer Personal Data” means personal data that Skillplate processes on behalf of a Customer in connection with the Services.
“Data Processing Addendum” or “DPA” means the Skillplate Data Processing Addendum available at: https://skillplate.com/legal/dpa
“Subprocessors” means third-party service providers that Skillplate uses to process Customer Personal Data on behalf of Customers.

2. The Skillplate Platform

Skillplate is a software platform that helps Creators and businesses create, sell, deliver, and manage digital products and online businesses.
Skillplate may include tools for:

  • (a) creating and selling online courses;
  • (b) creating and managing communities;
  • (c) selling digital downloads, files, resources, memberships, bundles, coaching, events, and other products;
  • (d) building websites, landing pages, checkout pages, member areas, and product pages;
  • (e) managing users, students, members, leads, customers, and subscribers;
  • (f) processing payments through third-party payment providers;
  • (g) managing analytics, CRM data, automations, integrations, webhooks, and communications;
  • (h) using AI-assisted features to help generate, structure, edit, or improve content, products, pages, offers, and marketing materials; and
  • (i) accessing other tools, services, and features made available by Skillplate from time to time.

Skillplate may modify, improve, replace, remove, or update any part of the Platform at any time.

3. Account Registration

To access certain parts of Skillplate, you may need to create an account.
You agree to provide accurate, complete, and current information when creating or using your account.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You must notify Skillplate immediately if you believe your account has been compromised or used without authorization.
Skillplate may suspend or restrict access to your account if we detect suspicious activity, security risks, fraud, abuse, violation of these Terms, or unlawful use of the Services.

4. Eligibility

You may use Skillplate only if you can legally enter into a binding contract with Skillplate.
You must be at least 18 years old to create a Creator account or purchase products through the Platform.
If you use Skillplate on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.

5. Creator Responsibilities

Creators are responsible for their own businesses, products, content, offers, customers, users, marketing, sales, tax obligations, legal compliance, and customer relationships.
As a Creator, you are responsible for:

  • (a) ensuring your Creator Content is accurate, lawful, and not misleading;
  • (b) ensuring you have all rights necessary to upload, publish, sell, or distribute Creator Content;
  • (c) providing appropriate terms, refund rules, product descriptions, disclaimers, and customer support for your own products;
  • (d) complying with consumer protection, advertising, privacy, tax, intellectual property, and other applicable laws;
  • (e) managing your users, students, members, customers, subscribers, leads, and buyers lawfully;
  • (f) ensuring your use of Skillplate complies with all applicable laws and these Terms; and
  • (g) ensuring that any personal data you upload to Skillplate or collect through Skillplate is collected and used lawfully.

Skillplate is not responsible for Creator Content, Creator products, Creator promises, Creator marketing, Creator customer support, or Creator business outcomes.

6. User Responsibilities

Users are responsible for how they access and use the Platform and any Creator products.
Skillplate may provide access to products, content, or communities created by third-party Creators. Skillplate does not guarantee the quality, accuracy, legality, suitability, results, completeness, or usefulness of Creator Content.
If you purchase or access a product from a Creator, your relationship regarding that product is primarily with the Creator, unless Skillplate is expressly identified as the seller.

7. Acceptable Use

You may use Skillplate only for lawful purposes.
You must not use Skillplate to:

  • (a) violate any law, regulation, or third-party right;
  • (b) upload, sell, distribute, or promote illegal, fraudulent, harmful, abusive, defamatory, obscene, hateful, violent, or misleading content;
  • (c) infringe intellectual property, privacy, publicity, or contractual rights;
  • (d) upload malware, viruses, harmful code, or security exploits;
  • (e) interfere with or disrupt the Platform;
  • (f) attempt to gain unauthorized access to Skillplate systems, user accounts, customer data, or third-party systems;
  • (g) scrape, crawl, copy, or extract data from the Platform except as permitted by Skillplate;
  • (h) use the Platform for spam, phishing, fraudulent schemes, or deceptive marketing;
  • (i) misuse payment systems, refunds, chargebacks, coupons, referrals, or affiliate tools;
  • (j) process sensitive personal data unless you have all required legal rights and protections in place;
  • (k) use the Services in a way that creates security, legal, reputational, or operational risk for Skillplate; or
  • (l) assist any third party in doing any of the above.

Skillplate may suspend or terminate accounts that violate this section.

8. Creator Content and License to Skillplate

You retain ownership of Creator Content that you upload, create, publish, or sell through Skillplate.
You grant Skillplate a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, distribute, modify, format, and otherwise use Creator Content as necessary to provide, maintain, secure, support, and improve the Services.
This license includes the right to process Creator Content through infrastructure providers, storage providers, payment providers, email providers, analytics providers, AI providers, and other subprocessors or service providers used to operate Skillplate.
You represent and warrant that you have all rights necessary to grant this license and that your Creator Content does not violate any law or third-party rights.

9. Skillplate Intellectual Property

Skillplate owns all rights, title, and interest in and to the Platform, including software, technology, design, interfaces, workflows, features, databases, trademarks, logos, branding, documentation, templates, system-generated structures, and other materials created by or for Skillplate.
Except as expressly allowed by these Terms, you may not copy, reproduce, modify, distribute, sell, lease, reverse engineer, decompile, scrape, or create derivative works from the Platform or any Skillplate-owned materials.
Skillplate grants you a limited, revocable, non-exclusive, non-transferable right to use the Services in accordance with these Terms.

10. AI-Assisted Features

Skillplate may provide AI-assisted features that help generate, structure, edit, rewrite, improve, or suggest content, products, courses, pages, offers, descriptions, marketing materials, automations, or other business assets.
You are responsible for reviewing, verifying, editing, approving, and lawfully using any AI-generated or AI-assisted output.
AI-assisted output may be inaccurate, incomplete, generic, unsuitable, or legally insufficient. Skillplate does not guarantee that AI-generated content will be accurate, compliant, original, commercially successful, or fit for your purpose.
You must not submit personal data, confidential information, sensitive information, or third-party content to AI-assisted features unless you have the legal right to do so.
Where Skillplate processes Customer Personal Data through AI-assisted features on behalf of a Customer, such processing is governed by the Skillplate Data Processing Addendum.
Skillplate will not use Customer Personal Data to train third-party foundation models unless expressly stated in our Privacy Policy, DPA, product settings, or another written agreement with you.

11. Payments and Billing

Skillplate may offer free plans, trials, paid subscriptions, usage-based plans, one-time purchases, marketplace purchases, commissions, fees, add-ons, and other paid services.
Prices, plan limits, usage limits, included features, and billing terms may vary and may be changed by Skillplate from time to time.
You agree to provide accurate billing, tax, and payment information.
Payments may be processed by third-party payment providers, including Stripe. Skillplate does not store full credit card numbers or full payment card details on its own systems.
By making a payment through Skillplate, you authorize Skillplate and its payment providers to charge the applicable fees, taxes, commissions, and other amounts due.
Creators are responsible for taxes, refunds, chargebacks, customer claims, legal compliance, and payment-related obligations related to their own products, except where Skillplate expressly states otherwise.

12. Payments, Subscriptions, Cancellations, Refunds, and Chargebacks

12.1 Paid Services
Skillplate may offer free plans, free trials, paid subscriptions, one-time purchases, usage-based plans, add-ons, commissions, marketplace purchases, and other paid services.
By purchasing a paid Service, starting a subscription, activating a paid plan, or continuing to use a paid plan after a trial or billing period begins, you authorize Skillplate and its payment providers to charge the applicable fees, taxes, commissions, and other amounts due.

12.2 Billing Authorization
You represent and warrant that you are authorized to use the payment method provided.
You authorize Skillplate and its payment providers to charge your payment method for all fees due, including recurring subscription fees, renewal fees, usage fees, taxes, and any other amounts associated with your account.
Subscription fees are charged in advance and renew automatically unless cancelled before the renewal date.

12.3 Cancellation
You may cancel your subscription through your account settings or by contacting Skillplate support, where available.
Cancellation stops future renewals. Cancellation does not automatically entitle you to a refund for amounts already paid.
If you cancel during a billing period, you may continue to have access to the paid Services until the end of the current billing period, unless your account is suspended or terminated under these Terms.

12.4 Refund Policy
Except where required by applicable law or expressly approved by Skillplate in writing, all fees are final and non-refundable.
Skillplate does not provide refunds, credits, or partial refunds for:

  • (a) unused time in a subscription period;
  • (b) failure to use the Services;
  • (c) forgetting to cancel before renewal;
  • (d) dissatisfaction with the Services;
  • (e) failure to achieve sales, revenue, leads, traffic, business results, or other outcomes;
  • (f) changes in your business needs, strategy, budget, team, audience, or priorities;
  • (g) lack of technical knowledge or inability to configure your account;
  • (h) software bugs, errors, limitations, missing features, downtime, maintenance, temporary interruptions, degraded performance, or technical issues;
  • (i) incompatibility with your device, browser, internet connection, domain provider, DNS provider, payment provider, email provider, analytics provider, integrations, custom code, business process, or third-party tools;
  • (j) third-party service issues outside Skillplate’s control;
  • (k) expectations not expressly promised in writing by Skillplate;
  • (l) account suspension or termination due to violation of these Terms;
  • (m) promotional offers, discounted plans, special offers, lifetime deals, or limited-time campaigns, unless the offer expressly states otherwise; or
  • (n) any reason not expressly approved by Skillplate.

Any refund, credit, extension, discount, or exception granted by Skillplate is discretionary and does not create a right to future refunds, credits, extensions, discounts, or exceptions.

12.5 Minimum Legal Refund Rights and Waiver of Withdrawal Rights
Nothing in these Terms limits refund, withdrawal, cancellation, or consumer rights that cannot be excluded, waived, or limited under applicable law.
Where the law allows Skillplate to limit, exclude, waive, or require prior approval for refunds, withdrawals, cancellations, or reimbursements, Skillplate does so to the maximum extent permitted by law.
Where a mandatory legal refund or withdrawal period applies and cannot be waived, the refund or withdrawal period will be limited to the shortest period required by applicable law.
Where applicable law allows the right of withdrawal to be waived for digital content, digital services, software access, subscriptions, or online platform services, you expressly waive your right of withdrawal by requesting and receiving immediate access to the Services.

12.6 Digital Content, Digital Services, Immediate Access, and Withdrawal Waiver
Skillplate provides digital services, software access, hosted digital tools, online platform functionality, digital content functionality, AI-assisted features, checkout tools, website tools, product creation tools, CRM tools, community tools, and related online services.
By purchasing, subscribing to, activating, accessing, or using any paid Skillplate Service, you expressly request and consent to immediate access to the digital Services before the end of any statutory withdrawal, cooling-off, cancellation, or refund period.
Where permitted by applicable law, you acknowledge, agree, and expressly consent that once Skillplate begins providing immediate access to the digital Services, you lose and waive any statutory right of withdrawal, cancellation, cooling-off, or refund.
If a separate checkout checkbox, consent notice, purchase confirmation, account flow, or other affirmative action is required by law to confirm your consent and acknowledgement, your purchase, subscription, activation, access, or continued use may be subject to that additional consent and acknowledgement.

12.7 “As Is” Service; No Refund for Issues, Limitations, or Dissatisfaction
Skillplate is provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, Skillplate does not guarantee that the Services will be uninterrupted, error-free, bug-free, perfect, compatible with your specific setup, or suitable for your specific business, technical, marketing, sales, audience, or commercial needs.
The existence of bugs, errors, limitations, missing features, downtime, maintenance, temporary interruptions, degraded performance, third-party service issues, configuration issues, or dissatisfaction with the Services does not automatically entitle you to a refund, credit, extension, discount, cancellation of amounts owed, or other compensation.
You are responsible for evaluating whether Skillplate is suitable for your needs before purchasing, subscribing, renewing, or continuing to use a paid Service.

12.8 Faults, Errors, and Service Issues
If you believe the Services are not functioning properly, you must contact Skillplate support and give Skillplate a reasonable opportunity to investigate and address the issue.
You agree to provide reasonable information requested by Skillplate, such as account details, screenshots, error messages, browser/device information, steps to reproduce the issue, relevant timestamps, and affected URLs or account areas.
A refund will not be available where the issue is caused by:

  • (a) your device, browser, internet connection, configuration, content, custom code, third-party integrations, payment provider, email provider, domain provider, DNS provider, analytics provider, advertising platform, automation provider, or other external service;
  • (b) your failure to follow instructions, onboarding materials, documentation, support guidance, or reasonable technical requirements;
  • (c) unauthorized modifications, misuse, abuse, or prohibited use of the Services;
  • (d) temporary maintenance, downtime, interruption, or degradation;
  • (e) features, results, integrations, designs, workflows, automations, templates, or outcomes that were not expressly promised in writing by Skillplate;
  • (f) your lack of use, lack of technical knowledge, lack of business results, lack of sales, lack of traffic, lack of leads, or failure to launch;
  • (g) account suspension, restriction, or termination due to violation of these Terms; or
  • (h) issues caused by third-party services, customer-side configuration, user error, external systems, or misuse of the Services.

12.9 Chargebacks and Payment Disputes
You agree to contact Skillplate first before initiating any chargeback, payment dispute, reversal, or bank claim.
If you initiate a chargeback, payment dispute, reversal, or bank claim without first making a good-faith effort to resolve the issue with Skillplate, Skillplate may treat this as a breach of these Terms.
Where permitted by law, Skillplate may suspend or terminate your account, restrict access to the Services, disable paid features, remove access to hosted content, disable checkout, disable websites or pages, disable automations, disable integrations, pause payouts, or refuse future service if you initiate an improper chargeback, payment dispute, reversal, or bank claim.
You agree that these Terms, the checkout page, payment confirmation, invoice, account activity, login history, usage records, cancellation records, support communications, IP logs, access logs, feature usage logs, checkbox consents, and platform records may be used as evidence in response to any chargeback, payment dispute, reversal, or bank claim.
You remain responsible for all amounts owed to Skillplate, including disputed amounts, chargeback fees, collection costs, and reasonable legal fees, to the maximum extent permitted by law.

12.10 Trials and Promotions
Skillplate may offer free trials, discounted plans, promotional offers, special campaigns, limited-time offers, or lifetime deals.
Skillplate may modify, withdraw, restrict, or terminate any trial or promotion at any time.
Unless expressly stated otherwise in the offer, promotional payments, discounted payments, special campaign payments, and lifetime deal payments are final and non-refundable, except where required by applicable law.
If a free trial converts into a paid subscription, you are responsible for cancelling before the trial ends if you do not want to be charged.
Failure to cancel before the end of a trial or promotional period does not entitle you to a refund, except where required by applicable law or expressly approved by Skillplate in writing.

12.11 Creator Products
If you purchase a product, course, community, membership, coaching program, download, bundle, event, or other offer from a Creator through Skillplate, the applicable refund policy may be set by the Creator, unless Skillplate is expressly identified as the seller.
Creators are responsible for their own product refund policies, customer support, product delivery, legal compliance, chargebacks, and customer claims.
Skillplate may, but is not required to, assist with disputes between Creators and Users.

12.12 Abuse
Skillplate may refuse refunds, credits, discounts, trials, extensions, or continued service in cases of abuse, fraud, excessive refund requests, repeated cancellations, suspicious payment activity, chargeback abuse, violation of these Terms, or unlawful conduct.
Skillplate may also suspend, restrict, or terminate accounts connected to refund abuse, chargeback abuse, fraudulent claims, payment disputes, or attempts to access paid Services without valid payment.

13. Taxes

You are responsible for all taxes, duties, levies, VAT, sales tax, withholding tax, and other governmental charges that apply to your use of Skillplate, your sales, your purchases, your customers, your products, your income, and your business.
Where required or appropriate, Skillplate or its payment providers may calculate, collect, report, or remit taxes.
Creators are responsible for ensuring that their pricing, tax treatment, invoices, customer communications, and business operations comply with applicable tax laws.

14. Privacy

Your use of Skillplate is subject to the Skillplate Privacy Policy, available at: https://skillplate.com/legal/privacy
The Privacy Policy explains how Skillplate collects, uses, shares, stores, and protects personal data when acting as an independent controller for its own business purposes.
By using Skillplate, you acknowledge the Privacy Policy.

15. Cookies and Tracking Technologies

Skillplate may use cookies, pixels, local storage, analytics technologies, and similar tools.
Our use of cookies and similar technologies is described in the Skillplate Cookie Policy, available at: https://skillplate.com/legal/cookie
Where required by law, Skillplate may request consent before using certain cookies or tracking technologies.
Creators are responsible for ensuring that any tracking, pixels, analytics, advertising tools, cookies, or third-party scripts they add or configure through Skillplate comply with applicable laws.

16. Data Processing Addendum

Where Skillplate processes Customer Personal Data on behalf of a Customer, such processing is governed by the Skillplate Data Processing Addendum, available at: https://skillplate.com/legal/dpa
The DPA forms part of these Terms and is incorporated by reference.
For the purposes of applicable data protection laws, the Customer is generally the controller or business, and Skillplate is generally the processor, service provider, or contractor when Skillplate processes Customer Personal Data on behalf of the Customer.
The DPA applies only to Customer Personal Data processed by Skillplate on behalf of the Customer. It does not apply where Skillplate processes personal data as an independent controller for its own business purposes, which is covered by the Privacy Policy.

17. Subprocessors

Skillplate may use third-party subprocessors to provide, secure, support, and improve the Services.
The Skillplate subprocessor list is available at: https://skillplate.com/legal/subprocessors
The subprocessor list identifies third-party providers that may process Customer Personal Data on behalf of Skillplate.
Skillplate does not publish detailed internal infrastructure, network architecture, database schema, security configuration, or non-personal-data technical components. The subprocessor list is intended to provide transparency about third-party processors of Customer Personal Data, not to disclose Skillplate’s internal technical architecture.
By using the Services, you authorize Skillplate to use subprocessors in accordance with the DPA.

18. Customer Data and Compliance

Customers and Creators are responsible for ensuring that they have a lawful basis to collect, upload, import, store, use, email, sell to, communicate with, or otherwise process personal data through Skillplate.
You are responsible for:

  • (a) providing legally required notices to your users, customers, students, leads, members, buyers, and subscribers;
  • (b) obtaining legally required consents;
  • (c) honoring opt-outs, unsubscribe requests, deletion requests, access requests, correction requests, and other data subject rights;
  • (d) ensuring that your marketing, emails, automations, tracking, pixels, and analytics are lawful;
  • (e) ensuring that your customer lists, lead lists, imported contacts, and CRM data were lawfully obtained;
  • (f) ensuring that your use of AI-assisted features with personal data is lawful; and
  • (g) ensuring that your use of Skillplate complies with GDPR, UK GDPR, CCPA/CPRA, ePrivacy rules, CAN-SPAM, consumer protection laws, and any other laws that apply to you.

Skillplate may assist with certain data protection requests where required by the DPA, but the Customer remains responsible for determining how to respond to its own users and data subjects.

19. Security

Skillplate uses commercially reasonable technical and organizational measures designed to protect the Platform and Customer Personal Data.
However, no system is perfectly secure. Skillplate does not guarantee that unauthorized third parties will never defeat our security measures or access the Platform without authorization.
You are responsible for:

  • (a) keeping your login credentials secure;
  • (b) using strong passwords;
  • (c) protecting your devices and systems;
  • (d) managing account access for your team members;
  • (e) promptly removing access for people who should no longer have access; and
  • (f) notifying Skillplate immediately of suspected unauthorized access or account compromise.

Skillplate may suspend accounts, restrict access, or take protective measures if we detect suspicious activity, security threats, fraud, abuse, or unauthorized access.

20. Integrations and Third-Party Services

Skillplate may integrate with third-party services, including payment providers, email providers, analytics providers, AI providers, automation providers, community platforms, video platforms, storage providers, and other tools.
Your use of third-party services may be subject to separate terms, privacy policies, fees, and data processing terms from those third parties.
Skillplate is not responsible for third-party services, third-party terms, third-party outages, third-party security incidents, third-party pricing changes, or third-party processing outside Skillplate’s control.
If you connect, configure, or enable a third-party integration, you authorize Skillplate to share data with that third-party service as necessary to provide the integration.

21. Marketplace and Creator Products

Skillplate may allow Creators to list, promote, or sell products through a marketplace or other distribution channels.
Skillplate may approve, reject, remove, delist, suspend, or modify access to marketplace listings at its discretion.
Creators are responsible for their own products, claims, descriptions, pricing, refunds, customer support, legal compliance, tax treatment, and fulfillment.
Users understand that Creator products may be created by third-party Creators and not by Skillplate.
Skillplate does not guarantee any specific result, outcome, income, learning result, business result, customer result, or financial result from any Creator product or from the use of Skillplate.

22. Affiliate, Referral, and Commission Programs

Skillplate may offer affiliate, referral, partner, commission, or revenue-sharing programs.
Participation in such programs may be subject to additional terms, eligibility requirements, commission rules, payout thresholds, fraud checks, tax documentation, and approval by Skillplate.
Skillplate may withhold, cancel, reverse, or refuse commissions in cases of fraud, abuse, self-referrals, refund abuse, chargebacks, suspicious activity, policy violations, or unlawful conduct.
Skillplate may modify, suspend, or terminate affiliate, referral, partner, or commission programs at any time.

23. Prohibited Content and Businesses

Skillplate may prohibit or restrict certain types of content, products, businesses, industries, claims, or activities.
Prohibited or restricted uses may include, without limitation:

  • (a) illegal products or services;
  • (b) fraudulent schemes;
  • (c) deceptive income claims;
  • (d) misleading health, financial, investment, legal, or professional claims;
  • (e) hate, harassment, exploitation, or abuse;
  • (f) sexual exploitation or non-consensual content;
  • (g) infringement of intellectual property rights;
  • (h) malware, hacking, phishing, or cyber abuse;
  • (i) regulated goods or services without required authorization;
  • (j) unlawful gambling, weapons, drugs, or controlled substances; and
  • (k) any content or activity that creates unacceptable legal, financial, security, or reputational risk for Skillplate.

Skillplate may remove content, suspend accounts, block transactions, or terminate access if we determine that content or activity violates these Terms or creates risk for Skillplate, users, customers, payment providers, or third parties.

24. Suspension and Termination

Skillplate may suspend, restrict, or terminate your access to the Services if:

  • (a) you violate these Terms;
  • (b) you fail to pay fees when due;
  • (c) your use creates legal, security, financial, operational, or reputational risk;
  • (d) your account is involved in fraud, abuse, spam, chargeback abuse, or suspicious activity;
  • (e) required by law, court order, regulator, payment provider, or platform partner; or
  • (f) Skillplate decides to discontinue or materially change the Services.

You may stop using Skillplate at any time. Termination does not relieve you of payment obligations, tax obligations, refund obligations, customer obligations, or liabilities incurred before termination.
Upon termination, Skillplate may delete, retain, export, or restrict access to data in accordance with these Terms, the DPA, the Privacy Policy, applicable law, and our technical retention practices.

25. Disclaimers

The Services are provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, Skillplate disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, security, and uninterrupted operation.
Skillplate does not guarantee that:

  • (a) the Services will be uninterrupted, secure, or error-free;
  • (b) defects will be corrected immediately;
  • (c) the Services will meet your expectations or business needs;
  • (d) Creator products will be accurate, lawful, useful, or successful;
  • (e) AI-generated outputs will be accurate, original, lawful, or suitable;
  • (f) you will generate sales, revenue, customers, leads, profit, growth, or business results; or
  • (g) any third-party service will remain available, compatible, or unchanged.

Any business, marketing, legal, tax, financial, educational, technical, or professional information provided through Skillplate is for general informational purposes only and is not professional advice.

26. Limitation of Liability

To the maximum extent permitted by law, Skillplate and its officers, directors, employees, contractors, affiliates, shareholders, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost data, lost goodwill, business interruption, reputational harm, or cost of substitute services.
To the maximum extent permitted by law, Skillplate’s total liability arising out of or relating to these Terms or the Services will not exceed the amount paid by you to Skillplate for the Services giving rise to the claim during the three (3) months before the event giving rise to liability.
Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, Skillplate’s liability will be limited to the maximum extent permitted by law.
Nothing in these Terms limits liability that cannot legally be limited.

27. Indemnification

You agree to indemnify, defend, and hold harmless Skillplate and its officers, directors, employees, contractors, affiliates, shareholders, agents, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from or related to:

  • (a) your use of the Services;
  • (b) your Creator Content;
  • (c) your products, offers, customers, users, students, members, buyers, leads, subscribers, or business operations;
  • (d) your violation of these Terms;
  • (e) your violation of applicable law;
  • (f) your violation of third-party rights;
  • (g) your privacy, marketing, tax, consumer protection, or intellectual property compliance failures;
  • (h) your use of third-party integrations; or
  • (i) your instructions to Skillplate.

28. Changes to the Services

Skillplate may modify, update, improve, restrict, replace, suspend, discontinue, or remove parts of the Services at any time.
Skillplate is not liable for changes to features, functionality, pricing, integrations, availability, third-party services, or technical architecture.
Where commercially reasonable, Skillplate may provide notice of material changes, but we are not required to provide notice for every update or change.

29. Changes to these Terms

Skillplate may update these Terms from time to time.
The current version will be posted at: https://skillplate.com/legal/terms
Material changes may be communicated by email, in-product notice, website notice, or another reasonable method.
Your continued use of Skillplate after updated Terms become effective means you accept the updated Terms.
If you do not agree to the updated Terms, you must stop using the Services.

30. Order of Precedence

If there is a conflict between these Terms and the DPA, the DPA controls with respect to the processing of Customer Personal Data.
If there is a conflict between these Terms and a written enterprise agreement signed by Skillplate, the signed enterprise agreement controls to the extent of the conflict.
If there is a conflict between these Terms and applicable law, applicable law controls to the extent required.

31. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, unless applicable law requires otherwise.
Any disputes arising from or relating to these Terms or the Services will be resolved in the courts specified by Skillplate or as otherwise required by applicable law.
